Allows members to upload their catalog online and present their products to professionals or the general public. The Pro Premium member benefits from numerous services, including an Import List access right.

1. Use of the Wine BHM website or mobile application
Wine BHM offers services, features, products, prices uploaded and presented by companies in the wine and spirits industry dedicated to professionals (B2B) or the general public (B2C). Access is via the winebhm.com website and mobile application.

2. Registration and registered office of Wine BHM Ltd
Wine BHM Ltd is registered in London, United Kingdom, since December 19, 2022 at "The Registrar of Companies for England and Wales", under number 145 47 171. The registered office is located at 124 City Road in London EC1V 2NX, in the United Kingdom.

3. Services provided and principle of operation

Wine BHM is a networking platform mainly dedicated to the wine and spirits industry, connecting professionals (B2B) or general public visitors (B2C) as well as all other professions that revolve around this industry. Access and registration are free.

A Pro Premium access is offered to all professionals, allowing them to upload a catalog and present their products on the platform. Pro Premium members also benefit from exclusive access to the Import List, a proprietary database of verified professional contacts.

Commercial transactions relating to wines and spirits take place directly between buyers and sellers, outside the Wine BHM platform. Wine BHM acts as a networking intermediary and does not intervene in these transactions. Wine BHM is not responsible for commercial transactions between users, except for all services offered and sold directly by Wine BHM, such as:

- wine tasting,
- food and wine pairings,
- advertising banner insertion,
- classified advertisement insertion

-Import List access right.

4. Acceptance of the General Terms of Use

Wine BHM users accept these General Terms of Use which apply to any user of the website www.winebhm.com or its mobile application. Wine BHM offers several services with additional terms and conditions of use and sales that may sometimes apply. These conditions prevail over all other General Terms of Use. The applicable conditions are those in force on the site and not those that can be viewed from another website or search engine presenting older General Terms of Use.

Visitors to the website contact sellers listed on the platform. Commercial transactions take place directly between the parties, outside of Wine BHM. The prices and products presented on the Wine BHM website imply acceptance of these General Terms of Use by users. The visitor declares that they are of legal age in their country for the purchase of alcohol and have the legal capacity necessary to comply with this agreement, which they have understood and fully acknowledged.

The registered user declares that all information provided to access the Wine BHM website during its use is accurate, complete and up to date. Members and users are prohibited from modifying, reproducing, duplicating, distributing, copying, selling, reselling or exploiting the Wine BHM website in any way for commercial or other purposes. Users of the Wine BHM website agree not to use the Wine BHM website for any illegal or inappropriate purpose and acknowledge that they are legally permitted to act for themselves or on behalf of a company they represent.

5. Email: sending, receiving, acceptance, responsibility

The user, private B2C or B2B member, who visits the Wine BHM website or sends emails, SMS or any other type of communication from their laptop, desktop computer, mobile phone or tablet, communicates with Wine BHM electronically under their sole responsibility.

The user agrees to receive electronic communications from Wine BHM by email or other means at their registered address, such as emails, texts, notices and messages, or through our members. When a user wishes to contact a seller, their message is forwarded to Wine BHM, which acts as a trusted intermediary and relays it to the seller to ensure professional and high-quality exchanges. Upon registration, all information relating to the professional member concerning their business is kept in the records of Wine BHM and can be consulted at any time upon request.

The user accepts that Wine BHM may at any time impose or modify its conditions of access, use or sale of the services offered on the website, including fees for access to certain parts of the Wine BHM website, which will take effect immediately after posting on the Wine BHM website or by email to the registered user. Any use of the website after the announcement of this decision constitutes acceptance of these modifications. Wine BHM may terminate or modify the services offered at any time.

6. Information collected by Wine BHM

All information provided during registration on the Wine BHM website or application by a professional or private visitor is recorded. To open a professional account, Wine BHM asks the user for an email address which will be used to connect to their personal account. A password is used to protect encrypted sensitive information. Wine BHM does not know this password, which is not stored in digital form.

When the professional user activates specific services, Wine BHM may collect additional sensitive encrypted information. The user must enter sensitive information into their personal account such as the name of their company, address, telephone number, company information, password, acknowledgment of receipt of online transaction and secure note, which are encrypted locally on the user's device; Wine BHM cannot display them in encrypted form.

Wine BHM automatically collects certain information stored in files such as IP address, browser type, Internet service provider, operating system, date and time, browsing route, logs from the user's computer or mobile device, language used, country of operation, device ID, location data and telephone number. This information is used to analyze preferences, administer our website, track user movements on Wine BHM and user database demographics, with the aim of improving the personalization of our services, or to detect fraud and authentication.
The information collected allows Wine BHM to respond to user preferences and improve services to facilitate user account creation, satisfy the requests of members, send administrative, security, support and maintenance notifications by email, respond to user requests, and send newsletters, offers and other promotions related to the services offered by Wine BHM. 7. Communication of information to third parties

Wine BHM may share information from users or members with third-party service providers in order to conduct quality testing, facilitate account creation, provide technical support, or to provide other services. Encrypted sensitive information is retained while in the possession of Wine BHM or a service provider and cannot be read by Wine BHM or its service providers.

8. Fraud Protection

Wine BHM may disclose certain portions of encrypted sensitive information from users to the financial institution that issued the credit card or operates the credit card network. This information is provided for the sole purpose of helping them prevent fraud. This information is provided to credit card companies using a private/public key so that Wine BHM or its service providers cannot read it.

9. Company transfer

Consequently, Wine BHM may share all or part of the information during the negotiation of a merger, financing, acquisition, dissolution, transaction, or procedure involving the sale, transfer, divestiture or disclosure of all or part of the information forming part of the company or its assets. 10. Security, protection of user information
Wine BHM attaches great importance to protecting the information of users of the winebhm.com website or its mobile application. It is important to note that no method of transmission over the Internet, or method of electronic data storage, is 100% reliable, and therefore Wine BHM cannot guarantee absolute security. The user can stop the collection of their information by uninstalling the application from their PC, laptop, mobile device or tablet.

11. Termination of access
The user who activates a Pro Premium access or who purchases an advertising insertion or any other service on the website cannot cancel it before the anniversary date indicated on their invoice. They may request the termination of their access but will not be reimbursed. All complaints must be sent by email.

12. Responsibility
Wine BHM is bound by an obligation of means and cannot be held responsible for damage resulting from the Internet such as loss of data, computer hacking, viruses, interruption of service or other unwanted problems. Wine BHM archives all data, orders, member registrations, newsletters, invoices, letters and emails on a reliable and durable copy constituting a legal copy of the legal relations between both parties. All information recorded on the website is considered by the parties as proof of communications, orders, payments and transactions between the parties.

13. Copyright - Intellectual and industrial property rights
All content on the website, but not limited to, such as trademarks, graphics, text, logos, images, icons, audio files and software owned by Wine BHM are protected by international industrial and intellectual property laws. The user of the site cannot acquire copyright and ownership rights by simply downloading content from the website www.winebhm.com. The user undertakes not to use the website for illegal or inappropriate purposes. Wine BHM cannot be held responsible for content presented on the Wine BHM website such as pedophilic, sexual, racist, anti-Semitic, political products or images, misleading product content and offensive images that members submit and/or upload to the website and which could be downloaded without the knowledge of Wine BHM by a visitor or another person who has gained access to the user's account.

All information and products presented on the Wine BHM website are protected by copyright and trademark, including texts, logos, icons, photographs and graphics as well as the specific content and presentation of the elements mentioned, the exclusive property of Wine BHM, its subsidiaries or the companies it represents. The Wine BHM website or any part of the website may not be reproduced, copied, transmitted, modified, published, sold, resold, or used for commercial purposes without the express permission of Wine BHM.

The user may not post or upload photos or materials to the website www.winebhm.com without the prior consent of Wine BHM Ltd. The characteristics of the products and services offered on the Wine BHM website are those which appear in the online catalog available and provided by Pro Premium members. Wine BHM does not guarantee the information and offers provided by professionals who upload all kinds of information about their company, including photos, texts, prices and availability of the products presented. Wine BHM assumes no responsibility for the actions, products, and fraudulent or non-fraudulent content of professionals who upload information from their personal account on the website.

15. Payment - Security

Payments on the Wine BHM website concern exclusively the services offered and sold directly by Wine BHM, such as Pro Premium access, Import List, advertising banners, classified advertisements and tasting services. These payments can be made by bank transfer or credit card and are secured. Wine BHM uses Hypertext Transfer Protocol Secure (HTTPS) to create a secure connection between the user's browser and the Wine BHM server. Sensitive information such as credit card details are encrypted via the SSL/TLS security protocol. After payment for the various services ordered, the user receives an email confirming their order and invoice.

Wine BHM does not intervene in any commercial transactions relating to wines and spirits between platform users. These transactions take place directly between the parties concerned, outside of Wine BHM.

16. Termination of access by Wine BHM
Wine BHM reserves the right to terminate a user's access and/or registration in the event of reasonable cause, fraud or inability to reach them by email, or in the event that the member does not comply with the rules concerning the uploading of non-compliant prices or information, in which case the access would be automatically terminated and not refunded.

17. Registration - Access to the website

The user must provide a username and password when registering. The password and username can be viewed by the registered user on their personal account. All information provided by a user when registering on the Wine BHM website or mobile application, whether a professional or private individual, is recorded.

The user accepts that Wine BHM may at any time impose or modify the conditions of access or sale, including fees for access to certain parts of the website, which will take effect immediately after their publication on the website or announced by email to the user. Any use of the website after the announcement of this decision constitutes acceptance of these modifications. Wine BHM may terminate or change any service offered or pricing at any time. The registered user is entirely responsible for protecting their password and username in order to access the website, and guarantees that unauthorized third parties shall not access their credentials.

18. Cookies

In the online networking process, Wine BHM is bound by an obligation of means and cannot be held responsible for damages, such as loss of data, hacking, viruses, interruption of service or other unintentional problems. Wine BHM archives orders regarding purchases of services, member registrations, newsletters, invoices, emails and correspondence on a reliable and durable copy, as a legal copy of the legal relationship between the two parties. All information recorded on Wine BHM is considered by the parties as proof of communications, orders, payments and transactions between the parties. Wine BHM presents products and information to third parties (user or member) over which the company has no editorial or content control. Wine BHM cannot be held responsible for the accuracy or verification of any such information, opinion or statement presented on Wine BHM by anyone, users, members or other persons working on behalf of Wine BHM.

Wine BHM will not be held responsible under any circumstances for any damage or loss caused by the use of information obtained from the website. It is the responsibility of the user to evaluate the accuracy of any information, opinion, offer or other content on the website. Even though the website is available worldwide, not all services and products offered by merchants may be available to individuals in different geographic regions and jurisdictions.

Any user who contacts merchants listed on Wine BHM with a view to purchasing alcoholic products is responsible for compliance with the legislation in force in their country of residence, in particular regarding the minimum age required for the purchase and consumption of these products.

Wine BHM reserves the right to refuse the sale of a service or access and/or cancel any order without limitation if Wine BHM believes that a user's behavior violates applicable law or harms the interests of Wine BHM and its affiliated companies.

21. Acceptance
The user acknowledges that Wine BHM may use the Newsletter registration or access activation to contact the user in order to promote products or other general information. The user agrees that the website collects information, records and compiles statistics about visitors, including information about user access and navigation on the website.

Before presenting a brand, a photo or text, the user or member must ensure that the uploaded documents are authorized by the registered trademarks. The user or member authorizes Wine BHM to upload and present on its website all information provided by the user or member. Any information or photos subject to a trademark registration or any other copyright cannot be uploaded without the express authorization of the brand presented on the Wine BHM website or mobile application. The user or member remains responsible for any damage caused by trademark and copyright infringement.

The user agrees to use the site at their own risk.

Wine BHM Ltd, its website and its affiliated companies are the sole beneficiaries of the rules, conditions and terms expressed in this document. Wine BHM makes no warranty regarding the information, content, materials and products on its website and posted by members or users. Wine BHM disclaims any liability, including damages or injury caused by any malfunction, error, omission, interruption, loss, defect or delay in any transaction or data transmission.

The user and/or member of the website acknowledges that Wine BHM Ltd is not responsible for any information uploaded or presented on the website that is defamatory, racist, anti-Semitic, pedophilic, sexist, political, offensive or illegal, and that the risk of resulting harm rests with the user or member. In no event shall Wine BHM or any person or entity involved in the production or distribution of the website be liable for any damages related to the use of the website, including direct or indirect, incidental or punitive damages.

Users or members agree not to file any legal action or claim against Wine BHM Ltd, their directors, employees and agents after using the website.

22. Conflict
In the event of a conflict, the Court of Justice of London in the United Kingdom will be empowered to judge the facts.
